1. Scope
These terms govern all engineering engagements (architecture, data platform, AI, and Laravel mandates) between Halvic Labs GmbH (hereinafter "Halvic") and its clients. The client's own or deviating terms apply only if Halvic has agreed to them in writing.
Separate terms apply on their respective domains for products offered under their own brands (e.g. PromptPult, Branchyx).
2. Conclusion of contract
An engagement contract is formed by mutual written confirmation of the key parameters (scope, duration, rate, start). Email confirmation qualifies as written form.
3. Services
Halvic provides engineering services on a best-effort basis. Specific deliverables and quality criteria are defined in the respective engagement contract.
4. Rates and payment
Rates are invoiced in CHF. Billing is monthly in arrears based on hours worked or milestones reached. Payment term: 14 days net. Expenses are passed through at cost.
5. Intellectual property
Unless otherwise agreed, all work product newly created during a paid engagement transfers to the client upon payment of the fee. Halvic retains co-use rights for its own follow-on projects and the right to reuse generic, non-confidential building blocks (libraries, patterns).
6. Confidentiality
Both parties undertake not to disclose the other party's confidential information to third parties. This obligation survives the end of the engagement.
7. Warranty and liability
Halvic is liable for proven defects notified in writing within 30 days of delivery, through remediation. Any further liability — in particular for consequential damages, lost profits, and data loss — is excluded to the extent permitted by law.
8. Term and termination
Engagements may be terminated by either side subject to the notice period agreed in the contract (default: 4 weeks). Work already performed must be paid for.
9. Applicable law and jurisdiction
Swiss law applies exclusively, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). Place of jurisdiction is Bern, Switzerland.
10. Severability
Should any provision of these terms be invalid, the validity of the remaining provisions shall remain unaffected. The invalid provision shall be replaced by a legally permissible provision that comes closest to its meaning.
